MFA and CII Submit Comment Letter on HSR Reform for FTC Hearings

On August 13, MFA and the Council of Institutional Investors (CII) submitted a comment letter regarding Hart-Scott-Rodino reform and the investment-only exemption. The letter validates the trend of increasing institutional shareholder engagement with companies; demonstrates the adverse impact of the current investment-only ambiguity on such engagement; and recommends a 10% de minimis exemption and clarification of the meaning of “investment only” as regulatory solutions. MFA and CII filed this letter in connection with upcoming FTC Competition and Consumer Protection in the 21st Century Hearings starting in fall 2018.
